TSX Venture Exchange has accepted for filing a Share Purchase Agreement (the "Agreement") between Kenai Resources Ltd ("Kenai") and Gold Anomaly Limited ("GOA") dated March 27, 2012.

The Agreement replaces and supersedes all prior agreements, understandings and arrangements between Kenai and GOA. Kenai will acquire all of the outstanding shares of Gold Aura do Brasil Mineração Ltda ("GOAB"), a private Brazilian company owned by GOA. GOAB owns the Sao Chico gold property (the "Property") in Brazil.

Kenai and GOA were parties to an option agreement dated September 21, 2010 as amended, pursuant to which Kenai has the option to acquire up to a 75% equity interest in GOAB. The new Agreement replaces the former option agreement and allows Kenai to purchase a 100% interest in GOAB.

Under the new Agreement, Kenai must:

(i)  Issue 10,000,000 common shares to GOA upon Exchange approval of the acquisition; and
(ii) Forgive all debts owed by GOA (aggregating approximately $AUS3,500,000).    

upon which it will have acquired a 100% equity interest in GOAB. Kenai has also agreed to issue in the future, an additional 6,000,000 shares to GOA upon the earliest of the following events: (a) GOAB receiving a Mining Concession, (b) Kenai and/or GOAB completing a positive Feasibility Study on all or part of the deposit, (c) commencement of commercial production (d) the sale by Kenai of all or substantially all of its interest in GOAB, (e) the sale, transfer, disposition, joint venture, option or similar transaction whereby Kenai or GAOB disposes all or substantially all of its interest in the Property, or (f) the purchase or takeover of all or substantially all or a controlling equity interest in Kenai by a third party.
