TSX Venture Exchange has accepted for filing documentation pursuant to the Purchase and Sale Agreement (the "Agreement") between the Company and Investcan Energy Corporation ("Investcan") dated February 1, 2012 whereby the Company will dispose of its 50% working interest in the Bay St. George petroleum project in western Newfoundland (the "Property"). The Company and Investcan each currently own a 50% working interest in the Property with the Company as the operator. In consideration, Investcan will make a $2.5 million cash payment and the Company will retain a 2% gross overriding royalty on all three permits comprising the Property.

No Insider / Pro Group Participation.
