TSX Venture Exchange has accepted for filing the documentation relating to an arm's length acquisition agreement, in connection with the Company's acquisition of a 100% interest in 469 claims located in the general area of the southwest bank of the Manicouagan Reservoir.

The total consideration payable by the Company consists in the payment of $15,000 in cash and the issue of 3,000,000 common shares to the vendors.

The vendors will retain a 2% NSR Royalty of which 1% can be bought back by the Company for $500,000.

TSX Venture Exchange has accepted for filing two option agreements (collectively the 'Agreements') between the Company and Larry McIntosh and Susan McIntosh (the 'Vendors'), dated March 1, 2012. The Agreements relate to three gold exploration properties located within the Walker Lane Mineral Belt in Nevada.

The first agreement relates to the Slate Mountain Property, and consideration consists of lease payments totalling US$310,000 payable in installments to the Vendors commencing March 1, 2012 and ending August 31, 2022, a purchase price of US$250,000 payable at any time before August 31, 2022 and a US$5,000 work commitment by September 1, 2013. The property is subject to a 2% NSR in the event that the Company elects to pay the purchase price and acquire the 100% ownership of the mining claims. The Company may purchase 1% of the NSR at any time for US$1,000,000.

The second agreement relates to the Jenny Hill and Black Hills projects, and consideration consists of lease payments totalling US$370,000 payable in installments to the Vendors commencing March 1, 2012 and ending August 31, 2022, a purchase price of US$250,000 for either claim or US$400,000 for both, payable at any time before August 31, 2022 and a US$5,000 work commitment by September 1, 2013. The Company must also issue 50,000 common shares at a deemed price of $0.13 on or before September 1, 2013. The property is subject to a 2% NSR in the event that the Company elects to pay the purchase price and acquire the 100% ownership of the mining claims. The Company may purchase 1% of the NSR at any time for US$1,000,000.
