(the 'Company'), Omai Gold Mines Ltd. ('OGML') and OGML's subsidiary Eagle Mountain Gold Inc. ('EMGI') under which the Company has been granted the option (the 'Option') to acquire an equity position of up to 100% of all of the issued and outstanding shares in the capital of EMGI from OGML.  OGML will transfer a 100% interest in the Eagle Mountain exploration, exploitation, prospecting or mining licences which comprise the Eagle Mountain Gold Property (the "Property") to EMGI.  OGML is owned as to a 95% equity interest by Iamgold Corp. of Toronto, Ontario and 5% equity interest by the government of Guyana.

Under the revised terms, OGML will transfer a 50% interest in EMGI upon the issuance of 7,500,000 shares of the Company.

TSX Venture Exchange has accepted for expedited filing documentation of a royalty, assignment, purchase and option agreement (the "Agreement") dated March 8, 2012 between Terraco Gold Corp. (the "Company"), TGC Holdings Inc. ("TGC", a wholly owned subsidiary of the Company, collectively the "Terraco Parties"), Seymork Investments Limited (Principal: L. Janda, "Seymork") and EXP2 LLC ("EXP"). Seymork holds a 3% net smelter returns royalty (the "Royalty") from the production of minerals on certain fee lands located in Pershing County, Nevada (the "Property").

Pursuant to the Agreement: (i) TGC will acquire from Seymork a portion of the Royalty representing 0.5% of net smelter returns on the Property for consideration of 2,500,000 common shares of the Company; (ii) the Terraco Parties will assign certain rights under a non-binding letter of intent dated January 16, 2012 as amended on February 28, 2012 between the Terraco Parties and Seymork to EXP; (iii) EXP will acquire from Seymork a portion of the Royalty representing 1.5% of net smelter returns on the Property; and (iv) EXP will grant the Terraco Parties an option to acquire a portion of the Royalty representing 0.5% of net smelter returns on the Property (the "Option"). The Option is exercisable by paying EXP US$983,211 within the earlier of: (a) 5 years of closing; and (b) one year of a change of control of either Terraco Parties.
