TSX Venture Exchange has accepted for filing documentation pursuant to a Purchase Agreement dated November 22, 2011 (the "Agreement") between the Company and Alberto Aurelio Arias Davila (the "Vendor").  As per the terms of the Agreement the Company will purchase 100% of the right, title and beneficial interest held by the Vendor in two mining concessions forming a portion of the Cushuro Property located in Peru.  In addition to the Acquisition, the Company entered into an option agreement with the Vendor which grants to the Company and irrevocable and exclusive option to purchase 100% of the right, title and beneficial interest in an additional mining concession.  Pursuant to the option agreement, the Company and the Vendor agreed to enter into a separate agreement to lease the option mining concessions during the option term.  In consideration for the acquisition, the option agreement and the lease, a total of 15,000,000 shares will be issued to the Vendor at a deemed price of $0.69 per share.
