TSX Venture Exchange has accepted for filing documentation relating to an option agreement (the "Agreement") dated December 15, 2011, between Sidley Associates Company S.A. (the "Optionor") and Tolima Gold (Barbados) Corp. ("Subco"), a wholly owned subsidiary of Tolima Gold Inc. (the "Company").  Pursuant to the Agreement, Subco shall have the option to acquire 100% of the issued and outstanding share capital of Sun Lakes Advisors Corporation from the Optionor.

In order to exercise the option, the Company must pay the Optionor US$1,000,000 and issue 1,727,000 common shares.

("Papayo Gold") and Sun Lakes Advisors Corporation ("Subco"), a wholly owned subsidiary of Tolima Gold Inc. (the "Company").  Pursuant to the Agreement, Subco shall acquire 100% of the issued and outstanding share capital of Papayo Gold from the Vendor.

As consideration, the Company must pay the Vendor US$4,100,000 and issue 1,570,000 common shares.
