TSX Venture Exchange (the "Exchange") has accepted for filing documentation pursuant to an Agreement (the "Agreement") dated December 23, 2011 between the Company and Novadx Ventures Corp. (the "Vendor").  As per the terms of the Agreement, the Company will mine and sell the coal at certain leases held by the Vendor in Kentucky, USA including the Flatwoods mine.  In consideration, the Company will issue 15, 000,000 shares to the Vendor at a deemed price of $0.05 per share as well as an ongoing cash payment of US$2.50 per ton of coal mined by the Company up to an aggregate amount of US$2.5 million.  If the average closing price of the Company's common shares is not greater than $0.10 per share over a 30 day period commencing 150 days after the Vendor's shares are issued, the Company proposes to issue and additional 5,000,000 common shares.  The issuance of the additional 5,000,000 common shares is subject to approval from the Exchange.
