Effective at the close of business Tuesday March 13, 2018, the common shares (the "Shares") of Lithium X Energy Corp (the "Company") will be delisted from TSX Venture Exchange.  The delisting of the Shares results from  NextView New Energy Lion Hong Kong Limited  ("NextView") acquiring, through its wholly owned British Columbia subsidiary, NNEL Holding Corp., all of the issued and outstanding Shares and common share purchase warrants (the "Warrants") of the Company by way of a court-approved plan of arrangement (the "Arrangement") under Section 288 of the Business Corporations Act (British Columbia) pursuant to an arrangement agreement dated December 16, 2017, as amended, between NextView and the Company.

The Arrangement was approved at a special meeting of the securityholders of the Company on February 6, 2018 and was approved by the Supreme Court of British Columbia on February 7, 2018. The Arrangement became effective at 12:01 am on March 10, 2018.

The TSX Venture Exchange (the "Exchange") has approved Volt Energy Corp.'s ("Volt") proposed Plan of Arrangement (the "Arrangement"). The Arrangement was approved by a special resolution passed by Volt shareholders at its annual and special meeting held on February 28, 2018.

Consolidation:

Pursuant to a special resolution passed by shareholders February 28, 2018, the Company has consolidated its capital on a four (4) old for one (1)  new basis.  The name of the Company has not been changed.

Plan of Arrangement:

Pursuant to the Arrangement, Volt's wholly-owned subsidiary, Roughrider Capital Corp. ("Roughrider"), will spin out its oil and gas assets located in southeastern Saskatchewan into Roughrider and distribute the common shares of Roughrider to shareholders of the Company.

Under the Arrangement, the Volt will (i) consolidate its common shares (the "Common Shares") on a 4 (old) to 1 (new) basis (as referenced under the heading "Consolidation"), (ii) re-classify and re-designate the Common Shares as "Class A common shares" (the "Class A Shares"), (iii) create a new class of common shares of the Company (the "New Volt Shares") and (iv) distribute to the shareholders of the Company (A) one New Volt Share for every one Class A Share held and (B) two common shares of Roughrider for every one Class A Share held.

No Roughrider shares will be listed for trading on the Exchange.

The Plan of Arrangement is fully described in Volt's Information Circular dated January 29, 2018. Refer also to Volt's news release dated February 21, 2018.

Substitutional Listing:

In accordance with the above-referenced Arrangement, Volt shareholders who previously held Common Shares (the "Old Shares") will have their Old Shares redesignated as Class A common shares and exchanged on a one for basis for a new class of common shares (the "New Volt Shares"). Accordingly, the New Volt Shares will be listed on the Exchange at the market opening Thursday March 15, 2018.

Pursuant to a plan of arrangement (the "Arrangement") under section 182 of the Business Corporations Act (Ontario) (the "OBCA"), AMD and former HLS Therapeutics Inc. formed an amalgamated Ontario corporation named "HLS Therapeutics Inc."  The Arrangement became effective on March 12, 2018, upon the issuance of the Certificate of Arrangement under the OBCA. Pursuant to the Arrangement, each outstanding former HLS common share was exchanged for one HLS common share ("HLS Common Share") and each outstanding AMD common share was exchanged (the "AMD Share Exchange") for 0.165834 HLS Common Share and one HLS preferred share ("HLS Preferred Share"). Upon completion of the Arrangement, there were 27,429,946 HLS Common Shares and 12,976,527 HLS Preferred Shares issued and outstanding.

Name Change

As a result of the completion of the Arrangement, former HLS Therapeutics Inc. and AMD were amalgamated to form an amalgamated corporation with the name HLS Therapeutics Inc.  There is no consolidation of capital, but the AMD Share Exchange described in the previous section applied.

Effective at the opening Wednesday March 14, 2018, the common shares of HLS will commence trading on TSX Venture Exchange, and the common shares of AMD will be delisted.  HLS will be classified as a "pharmaceutical and medicine manufacturing" company.
