TSX Venture Exchange has accepted for filing documentation pursuant to an agreement among the Company and ATB Capital to form the Foothills Creamery Group Ltd. ("the Purchaser") for the purpose of acquiring Foothills Creamery Ltd. The Purchaser has agreed to acquire a 90% interest in Foothills Creamery Ltd. from Donald Bayrack et al. (the "Vendors"). The Company will have a 50% interest in Foothills Creamery Ltd. as a result of the transaction.

The purchase price is set at $27.6-million, subject to adjustments. The purchase price for the acquisition will be settled by way of a combination of cash, debt financing, and a performance based earnout, along with the issuance of 400,000 common shares in the capital of Western, with a deemed price of 62.5 cents per share. Of the aggregate purchase price, Western shall pay an aggregate of $3,075,000 in cash. The debt financing shall be a combination of real estate debt, an acquisition term loan and an operating facility, all to be provided by the BMO Bank of Montreal.
