Temex Announces Adoption of Advance Notice By-law and Annual and Special Shareholders' Meeting
TORONTO, June 11, 2013 /CNW/ - Temex Resources Corp. (TSX-V: TME, FWB: TQ1) ("Temex") announces the adoption by its board of directors (the "Board") of a by-law relating to the nomination of directors (the "Advance Notice By-law") effective June 11, 2013. Among other things, the Advance Notice By-law includes a provision that requires advance notice to be given to Temex in circumstances where nominations of persons for election to the Board are made by shareholders of Temex other than pursuant to a requisition of a meeting made by a shareholder or a shareholder proposal made in accordance with the provisions of the Business Corporations Act (Ontario).
In particular, the Advance Notice By-law fixes a deadline by which director nominations must be submitted to Temex prior to any annual shareholders' meeting or special shareholders' meeting (if the election of directors is one of the matters to be considered at such special shareholders' meeting) and sets forth the information that must be included in the notice to Temex in order for a nominee to be eligible for election. In the case of an annual meeting, notice to Temex must be given no fewer than 30 days nor more than 65 days prior to the date of the meeting, unless the meeting is to be held on a date that is fewer than 50 days after the date on which the first public announcement of the date of the meeting was made, in which case notice may be given no later than the close of business on the 10th day following such public announcement. In the case of a special meeting at which the election of directors is to be considered (that is not also an annual meeting), notice to Temex must be given no later than the close of business on the 15th day following the day on which the first public announcement of the date of the meeting was made.
In order for the Advance Notice By-Law to remain in effect following conclusion of the upcoming annual and special shareholders' meeting to be held on July 16, 2013 (the "Meeting"), it must be ratified by an ordinary resolution of the shareholders at the Meeting. The Meeting will be held at the Arcadian Loft #5, Simpson Tower, 8th Floor, 401 Bay Street, Toronto, Ontario. All shareholders of record as of June 6, 2013 are entitled to vote at the Meeting either in person or by proxy.
