("SXC" or the "Company") (NASDAQ: SXCI,TSX: SXC), a leading provider of pharmacy benefit management (PBM) services and healthcare information technology (HCIT) solutions to the healthcare benefits management industry, announced today the completion of the previously disclosed acquisition of MedfusionRx, LLC ("MedfusionRx"), a leading independent specialty pharmacy provider, for a purchase price of $100 million in cash, subject to a customary working capital adjustment, with an additional $5.5 million subject to the achievement of certain performance targets through the 2012 fiscal year. The waiting period under the Hart-Scott-Rodino Antitrust Improvements Act expired at 11:59 p.m. Eastern Standard Time on December 24, 2010.
