VANCOUVER, Jan. 5 /CNW/ - Stream Oil & Gas Ltd. (TSX-V: SKO) (the "Company") is pleased to announce that it has completed a non-brokered private placement previously announced on Nov 17, 2009 and has raised gross proceeds of CDN $3.5 million by the issuance of 10,000,000 units at CDN $0.35 per unit. Each unit includes a common share and one-half warrant. The warrants are for a two-year term with a full warrant permitting the purchase of one common share at an exercise price of $0.55. Stream has the right to force the exercise of the warrants at any time if the shares trade at $0.75 or higher over a 20 consecutive day period.
All securities issued in connection with the Non-Brokered Offering are subject to a statutory hold period of four months plus one day from the date of issuance in accordance with applicable securities legislation.
Finders' fees of 7% cash and finders warrants were paid as follows: Haywood Securities Inc. $189,802 and 542,290 finder's warrants; and Jones, Gable & Company Ltd. $30,874 and 88,210 finder's warrants.
Each finder's warrant has a two-year term, exercisable into the issuance of a unit comprised of one common share and one-half warrant exercisable for a two-year term.
Stream intends to use the net proceeds realized from the private placement to fund the previously announced Plans of Development work programme on its properties in Albania, and for working capital.
The private placement is subject to final regulatory approval.
