TORONTO, Sept. 28, 2012 /CNW/ - Strata Minerals Inc. (TSX-V: SMP) ("Strata" or the "Company") is pleased to announce that it has retained San Diego Torrey Hills Capital, Inc. ("Torrey Hills") to act as investor relations consultants to the Company. Torrey Hills, located in Rancho Santa Fe, California, will work on its Strata engagement with Red Cloud Capital Mining ("Red Cloud"), based in Toronto, Ontario, to service Canadian audiences.
Services to be provided by Torrey Hills and Red Cloud include increasing awareness about Strata through their established relationships with investment professionals, investment advisors, and money managers focused on the microcap market space. This will allow Strata to build and maintain an informed investor audience in both the U.S and Canadian marketplaces.
Torrey Hills has been engaged on a month-by-month basis at a monthly fee of US$7,000. In addition, Strata has agreed to grant options to purchase 400,000 common shares of the Company (the "Options") at a price of CDN$0.15 per common share for a period of three years from the date of grant. The Options shall be subject to the terms of the Company's stock option plan and the policies of the TSX Venture Exchange and will vest in 12 equal installments over the first 12 months of the engagement.
Torrey Hills currently has no direct or indirect interest in the securities of Strata, or any right or intent to acquire such an interest except pursuant to the exercise of the above referenced Options. The appointment of Torrey Hills as an investor relations consultant of Strata and the granting of the Options remain subject to regulatory acceptance of applicable filings with the TSX Venture Exchange.
