Spyglass Resources Corp. Announces Voting Results from Annual General Meeting
CALGARY, May 13, 2015 /CNW/ - Spyglass Resources Corp. ("Spyglass", or the "Company") (TSX: SGL, OTCQX: SGLRF) announces the voting results from its Annual General Meeting of shareholders held on May 13, 2015 in Calgary, Alberta (the "Meeting"). Each of the matters voted on at the Meeting is outlined in the Information Circular dated March 25, 2015 and is available on the company's website at www.spyglassresources.com and on SEDAR at www.sedar.com.
Proxies or ballots were received for a total of 58,443,478 common shares (representing 45.73 percent of the Company's issued and outstanding shares), of which 37,995,245 common shares (representing 29.73 percent of the Company's issued and outstanding shares) were voted with respect to the directors. The voting results for each matter presented at the Meeting are below.
Election of Directors
While each of our directors has been duly elected, for five directors the affirmative votes are less than the withheld votes. In accordance with our Majority Voting Policy, we will promptly engage our Governance, Human Resources and Compensation Committee to determine which steps should be taken in the best interests of the company and the shareholders. The appointment of PricewaterhouseCoopers LLP, Chartered Accountants, to serve as the Auditors of the Company until the close of the next annual meeting, at remuneration to be fixed by the directors on the recommendation of the Audit Committee.
