Resource Capital Fund VI L.P. Acquires Shares of TMAC Resources Inc.
DENVER, July 7, 2015 /CNW/ - Resource Capital Fund VI L.P. ("RCF VI") reports that it has purchased 7,500,000 common shares (the "Subject Shares") in the capital of TMAC Resources Inc. ("TMAC") in connection with TMAC's initial public offering of 22,500,000 TMAC common shares (the "TMAC IPO").
The Subject Shares were acquired at a price of C$6.00 per Subject Share, for aggregate gross proceeds paid to TMAC of $45,000,000.
Following the completion of the TMAC IPO, RCF VI beneficially owns, directly or indirectly, 27,519,047 TMAC common shares, representing approximately 37.1% of TMAC's common shares. Immediately prior to the completion of the TMAC IPO, RCF VI owned, directly or indirectly, 20,019,047 TMAC common shares representing approximately 38.7% of TMAC's common shares. RCF VI acquired the Subject Shares for investment purposes. RCF VI may from time to time acquire additional securities, dispose of some or all of the existing or additional securities or may continue to hold the securities of TMAC.
TMAC has provided the underwriters of the TMAC IPO an over-allotment option exercisable at any time and from time to time for a period of 30 days following completion of the TMAC IPO that is equal to 15% of the aggregate number of TMAC common shares to be purchased under the TMAC IPO. RCF VI's ownership figures in this press release of TMAC common shares are presented on a non-diluted basis and prior to giving effect to any exercise of the over-allotment option.
