Resilience Security Partners LP and Craig Campbell Update Market in Respect of Avante Logixx Inc. Holdings

TORONTO, April 11, 2018 /CNW/ - Resilience Security Partners LP (the "Acquiror"), a limited partnership controlled by Craig Campbell, who is the chief executive officer of Avante Logixx Inc. ("Avante" or the "Company") and the founder of Resilience Capital Inc., announce that, on April 10, 2018, as part of a reorganization of Mr. Campbell's investment in the Company, Mr. Campbell transferred 13,630,500 common shares in the capital of the Company (the "Acquired Shares") to the Acquiror pursuant to a private agreement (representing approximately 16.7% of the outstanding common shares of the Company (the "Common Shares").

The Acquiror is a limited partnership controlled by Mr. Campbell by virtue of his control over Resilience Security Partners GP Inc., the general partner of the Acquiror (the "General Partner"), which is wholly owned by Mr. Campbell. In consideration for transferring the Acquired Shares to the Acquiror, Mr. Campbell received cash and limited partnership units of the Acquiror at a deemed price per Acquired Share of $0.37, representing a total consideration value of $5,043,285.

Prior to the transaction described above, the Acquiror did not own or control any Common Shares and Mr. Campbell owned and controlled a total of 13,845,500 Common Shares (representing approximately 16.9% of the outstanding Common Shares. Immediately following the transaction described above, the Acquiror has acquired ownership of (but not control over) the Acquired Shares and Mr. Campbell continues to own and control the remaining 215,000 Common Shares that were not transferred by him to the Acquiror. By virtue of his control over the General Partner, Mr. Campbell continues to exercise control over the Acquired Shares acquired by the Acquiror.

The Acquiror acquired the Acquired Shares for investment purposes.  The Acquiror and its joint actors have a long-term view of the investment and may acquire additional securities of the Company on the open market or through private acquisitions or sell the securities either on the open market or through private dispositions in the future depending on market conditions, reformulation of plans and/or other relevant factors. The Acquiror has no plans or intentions that relate to, or would result in the matters listed in clauses (a) to (k) above.
