Precipice Holdings Limited and N.W. Fulcher Limited Acquire Additional Common Shares and Warrants of Nova Leap Health Corp.

HALIFAX, Jan. 12, 2018 /CNW/ - Precipice Holdings Limited ("Precipice") and N.W. Fulcher Limited ("Fulcher") each announced today that they have acquired ownership of 557,500 units ("Units") and 500,000 Units, respectively, of Nova Leap Health Corp. (TSXV: NLH) ("Nova Leap"), with its head office at 104-37 Wentworth Street, Dartmouth, Nova Scotia, B2Y 2S9, for an aggregate purchase price of $111,500 and $100,000, respectively ($0.20 per Unit). Each Unit is comprised of one common share of Nova Leap and one half of one common share purchase warrant of Nova Leap, with each whole warrant entitling the holder to acquire one common share of Nova Leap for $0.35 at any time up to January 8, 2020.

The 1,057,500 Units were purchased by way of a private placement and were acquired for investment purposes. Each of Precipice and Fulcher may, from time to time, increase or decrease their respective holdings of common shares of Nova Leap, depending on market and other conditions.

Precipice acquired ownership of 557,500 common shares forming part of the Units, representing approximately 1.74% of the common shares of Nova Leap issued and outstanding, and 278,750 common share purchase warrants forming part of the Units, which, if exercised, represent approximately 0.87% of the common shares of Nova Leap issued and outstanding.

Fulcher acquired ownership of 500,000 common shares forming part of the Units, representing approximately 1.56% of the common shares of Nova Leap issued and outstanding, and 250,000 common share purchase warrants forming part of the Units, which, if exercised, represent approximately 0.78% of the common shares of Nova Leap issued and outstanding.

Immediately before the acquisition, Precipice and its joint actors owned 4,409,000 common shares and 1,187,500 common share purchase warrants of Nova Leap. The aggregate number of common shares of Nova Leap held by Precipice and its joint actors before the acquisition represents approximately 14.83% of all issued and outstanding common shares of Nova Leap.

Immediately before the acquisition, Fulcher and its joint actors owned 3,875,000 common shares and 1,062,500 common share purchase warrants of Nova Leap. The aggregate number of common shares of Nova Leap held by Fulcher and its joint actors before the acquisition represents approximately 13.04% of all issued and outstanding common shares of Nova Leap.

Following the acquisition, Precipice and its joint actors now own 4,966,500 common shares of Nova Leap, which represents approximately 15.47% of all issued and outstanding common shares of Nova Leap. In addition, Precipice and its joint actors own 1,466,250 common share purchase warrants of Nova Leap.

Following the acquisition, Fulcher and its joint actors now own 4,375,000 common shares of Nova Leap, which represents approximately 13.63% of all issued and outstanding common shares of Nova Leap. In addition, Fulcher and its joint actors own 1,312,500 common share purchase warrants of Nova Leap.
