Phillip L. Rogers and Alisa Kramer Rogers Acquire Shares and Options in Catch<br>the Wind

MANASSAS, VA, Dec. 1 /CNW/ - Philip L. Rogers and Alisa Kramer Rogers (collectively, the "Offerors") announced that they have acquired, as tenants by their entireties with right of survivorship, 1,470,588 common shares (the "Shares") of Catch the Wind Ltd. (TSX-V: CTW) ("CTW"), representing approximately 1.83% of the outstanding common shares of shares of CTW. In addition, Philip L. Rogers has acquired options to purchase 400,000 common shares of CTW at an exercise price of CDN $0.36 per share, and Alisa Kramer Rogers has acquired options to purchase 100,000 common shares of CTW at an exercise price of CDN $0.36 per share (collectively, the "Options"). Assuming full exercise of the Options, the Offerors would jointly own or exercise control over 26,470,588 common shares of CTW, representing 32.88% of the issued and outstanding shares of CTW on a partially diluted basis (assuming the exercise of only the Options and no other convertible securities of CTW).

The Shares were purchased by the Offerors for investment purposes pursuant to and in accordance with the terms of a privately negotiated agreement between the Offerors and CTW. The Options were granted to the Offerors in their capacity as directors and/or officers of CTW in accordance with the terms of the stock option plan of CTW (which was approved by shareholders of CTW on June 16, 2010) (the "Stock Option Plan"). The Offerors may in the future take such actions in respect of their holdings in CTW as they may deem appropriate in light of the circumstances then existing, including the purchase of additional common shares or other securities of CTW through open market purchases or privately negotiated transactions or the sale of all or a portion of the Offerors' holdings in the open market or in privately negotiated transactions to one or more purchasers, subject in each case to applicable securities laws.

The Offerors have filed a report under National Instrument 62-103 - The Early Warning System and Related Take-Over Bid and Insider Reporting Issues.
