MILIT-AIR Inc. announces bondholders' meeting adjourned to September 15, 2015

CALGARY, Sept. 9, 2015 /CNW/ - MILIT-AIR Inc. (the Corporation) announced today that quorum was not present at the class meeting (the Meeting) of holders of 5.75% Series 1 Amortizing Secured Bonds due June 30, 2019 (the Series 1 Bonds) and 5.87% Series 2-1 Amortizing Secured Bonds due April 22, 2020 (the Series 2-1 Bonds and collectively with the Series 1 Bonds, the Bonds) of the Corporation convened on September 8, 2015 at 9:00 a.m. (Eastern time). 

In accordance with the terms of the indenture governing its outstanding Bonds (the Indenture), the Meeting was adjourned to September 15, 2015 at 9:00 a.m. (Eastern time) at the offices of Norton Rose Fulbright Canada LLP, 1 Place Ville Marie, Suite 2500, Montreal, Quebec. The original record date of August 4, 2015 (the Record Date) will remain in force as the Record Date for the adjourned Meeting to be held on September 15, 2015.

Under the terms of the Indenture, at the adjourned Meeting on September 15, 2015, whatever number of registered holders of Bonds present in person or represented by proxy shall constitute a quorum and may transact the business for which the Meeting was originally convened notwithstanding that they may not represent 50% of the total amount of indebtedness, liabilities and obligations of the Corporation evidenced by the Bonds outstanding as at the Record Date.

The deadline for a registered holder of Bonds to deposit proxies with Computershare Trust Company of Canada has been extended to 5:00 p.m. (Eastern Time) on September 11, 2015.  Beneficial holders of Bonds that have not yet provided voting instructions to their brokers or other intermediaries through which they hold their Bonds should contact their brokers or other intermediaries for further details regarding the procedures for attending and voting at the adjourned Meeting. Unless properly revoked, validly deposited proxies and voting instructions previously given for the Meeting will remain valid for the adjourned Meeting.
