Liberty Provides Clarification to Earlier News Release

VANCOUVER, BC AND ATLANTA, June 26, 2020 /CNW/ - Liberty Defense Holdings Ltd. ("Liberty" or the "Company") (TSXV: SCAN) (FRANKFURT: LD2) (OTCQB: LDDFF), a leading concealed weapons detection company, wishes to clarify the news release disseminated by the Company on June 22, 2020 in respect the Company's proposed reverse-takeover (the "Transaction") by DrawDown Detection Inc. ("DrawDown").
Prior to the completion of the Transaction, DrawDown will arrange for the completion of a concurrent financing of Liberty subscription receipts (the "Subscription Receipts") for minimum gross proceeds of $2,500,000 (the "Concurrent Financing"). At the request of the TSX Venture Exchange (the "Exchange"), the Company wishes to clarify that the price of the Subscription Receipts will be determined in the context of the market and as mutually agreed upon by the parties. The final terms of the Concurrent Financing remain subject to change. Additional information in connection with the Concurrent Financing will be provided in subsequent press releases. There is no assurance that the Concurrent Financing will be completed as proposed or at all.
