HERZLIYA, Israel and CALGARY, Alberta, Sept. 9, 2026 /CNW/ -- Innocan Pharma Corporation (CSE: INNO) (FSE: IP4) (OTC: INNPF) (the "Company" or "Innocan") is pleased to announce that it intends to complete a private placement of up to 535,000 units of the Company (the "Units") at a price of C$1.87 per Unit for gross proceeds up to C$1,000,000 (the "Offering"). The Offering is expected to close on or around September 17, 2026.
Each Unit will be comprised of: (i) one (1) common share in the capital of the Company (each a "Common Share"); and (ii) one (1) common share purchase warrant (each a "Warrant"). Each Warrant will entitle the holder thereof to purchase one Common Share at a price of C$2.50 for a period of three (3) years from the date of issuance; provided that following issuance of the Warrants, if the daily volume weighted average trading price of the Common Shares on the Canadian Securities Exchange for 30 consecutive trading days equals or exceeds $4.80, the Company can, on written notice to the subscribers or by press release (the "Acceleration Notice") accelerate the expiry date of the Warrants to the date that is 30 days following the date of the Acceleration Notice.
Innocan intends to use the proceeds of the Offering for working capital and general corporate purposes. Innocan also intends to pay a finder's fee equal to 10% in cash and 8% finder's warrants to arm's length finders.
The securities issued to subscribers in connection with the Offering will be subject to a hold period of four months and one day from the date of issuance, in accordance with applicable Canadian securities laws and the policies of the Canadian Securities Exchange.
