("GEI"), Albert C. Gannaway III, and Samantha Gannaway in United States District Court for the Northern District of California against Frankly, its CEO, CFO/COO and others, alleging violations of United States securities laws, fraud and breach of fiduciary duties. On August 7, 2017, Frankly filed a Form 10 with the United States Securities and Exchange Commission to register its common shares in the United States under Section 12(g) of the Securities Exchange Act of 1934, as amended (the "Exchange Act"). Upon effectiveness of the Form 10, the Company will become a U.S. reporting company, subject to the reporting requirements of the Exchange Act.
