Dye & Durham Provides Update Regarding Annual General and Special Meeting of Shareholders

TORONTO, Dec. 8, 2025 /CNW/ - Dye & Durham Limited (the "Company" or "Dye & Durham") (TSX: DND) today announced the filing of its management information circular and related materials to shareholders in connection with the upcoming annual general and special meeting of shareholders, scheduled to be held on December 31, 2025 (the "Meeting"), and provided certain related updates.

In accordance with applicable corporate and securities laws, the Company is required to send its financial statements for the year ended June 30, 2025 and the auditors' report thereon (the "Annual Financial Statements") to its shareholders not less than 21 days before Meeting (the "Delivery Requirement"). The Company is also required to place the Annual Financial Statements before the shareholders at the Meeting.

As the Company is continuing to work with its auditor to complete the audit of the Annual Financial Statements, the Company announced today that it will not be able to satisfy the Delivery Requirement. As the Company's intention is to hold the Meeting on December 31, 2025, the Company has applied to the Ontario Superior Court of Justice (the "Court") for relief from the Delivery Requirement to allow more time for the audit of the Annual Financial Statements to be completed and for the Annual Financial Statements to be delivered to shareholders on a date that is less than 21 days before the Meeting. In the alternative, and only if necessary, the Company may require alternative relief from the Court to, depending on any direction received from the Court, allow the Meeting to either proceed without the Annual Financial Statements being available, or to delay the date of the Meeting to allow additional time to complete and deliver the Annual Financials Statements in advance of the Meeting.

The Company's materials supporting the application will be posted on SEDAR+. Significant updates on scheduling and any determinations of the Court will be provided.
