EDMONTON, AB, Feb. 13, 2026 /CNW/ - Dr. Phone Fix Canada Corporation (TSXV: DPF) ("Dr. Phone Fix" or the "Corporation"), one of Canada's fastest-growing consumer electronics repair and resale platforms, announces that its board of directors has approved the granting of stock options ("Options"), in lieu of cash compensation, under its stock option plan (the "Stock Option Plan"), to its directors, to acquire an aggregate of 3,720,000 common shares ("Common Shares") of the Corporation (the "Option Grant").
The Options were issued as of February 12, 2026 (the "Grant Date"), and are exercisable for a period of 10 years, at a price of $0.19 per Common Share. 25% of the Options vested on the Grant Date and the remaining 75% of the Options will vest in three 25% increments, at the end of each of the 3 subsequent 90-day periods, following the Grant Date.
All Options and the Common Shares underlying such Options are subject to a hold period of four months and one day from the Grant Date.
Following the Option Grant, the Corporation has a total of 8,992,125 Options outstanding. The Corporation's Stock Option Plan limits the total number of Common Shares underlying the aggregate outstanding Options at any time to no more than 10% of the Common Shares which are issued and outstanding at such time. As of the date of this press release, the total number of Common Shares underlying the aggregate outstanding Options represents approximately 5% of the issued and outstanding Common Shares.
