LONDON, April 5, 2019 /CNW/ - Daniel Fields converted (the "Conversion") 300 series F multiple voting shares (the "Series F Multiple Voting Shares") in the capital of DionyMed Brands Inc. (the "Company") into 1,500,000 subordinate voting shares ("Subordinate Voting Shares") in the capital of the Company at a rate of 5,000 Subordinate Voting Shares for each Series F Multiple Voting Shares converted, in accordance with the articles of the Corporation (the "Articles"). Prior to the Conversion, Mr. Fields owned 2,199 Series F Multiple Voting Shares representing approximately 33.33% of the issued and outstanding Series F Multiple Voting Shares. Pursuant to the Conversion, Mr. Fields disposed of approximately 4.55% of the issued and outstanding Series F Multiple Voting Shares and now owns approximately 30.15% of the issued and outstanding Series F Multiple Voting Shares.
The Conversion was undertaken in order to increase the number of issued and outstanding Subordinate Voting Shares. Depending on market and other conditions, or as future circumstances may dictate, Mr. Fields may from time-to-time convert further Series F Multiple Voting Shares subject to the conversion limitations set out in the Articles. The Subordinate Voting Shares received by Mr. Fields upon conversion of his Series F Multiple Voting Shares remain subject to a lock up agreement with the agents of the subscription receipt offering that closed on November 2, 2018, as further described in the Corporation's CSE Form 2A - Listing Statement (the "Listing Statement"). The Company's Subordinate Voting Shares are listed on the Canadian Securities Exchange (the "CSE") under the symbol "DYME" and the Subordinate Voting Shares issued upon the Conversion are listed on the CSE.
