Connor, Clark & Lunn Financial Opportunities Fund Files Final Prospectus for Warrant Offering
TORONTO, March 5, 2012 /CNW/ - Connor, Clark & Lunn Capital Markets Inc. announces that a final short form prospectus relating to an offering of Warrants of Connor, Clark & Lunn Financial Opportunities Fund (the "Fund") has been filed and receipted by the securities regulatory authorities of all the Canadian provinces and territories.
Holders of Class A Units and Class F Units (collectively, the "Units") at the close of business (Toronto time) on March 16, 2012 (the "Record Date") will receive one transferable Warrant for each Unit held. Each Warrant will entitle the holder thereof to acquire one Unit of the applicable class upon payment of the applicable Subscription Price prior to 5:00 p.m. (Toronto time) on the applicable Exercise Date(s). The subscription price for the Class A Warrants is $4.85 and the subscription price for the Class F Warrants is $5.03.
Commencing on March 26, 2012, Warrants may be exercised on each Monday (and if Monday is not a business day then the next business day immediately following such Monday) commencing on market open (Toronto time) until 5:00 p.m. (Toronto time) on such business day until 5:00 p.m. (Toronto time) on November 26, 2012 (each, an "Exercise Date"). Warrants not exercised by 5:00 p.m. (Toronto time) on November 26, 2012 (the "Expiry Date") will be void and of no value.
The exercise of Class A Warrants and Class F Warrants by holders of Class A Units and Class F Units, respectively, will provide the Fund with additional capital that can be used to take advantage of investment opportunities by the Fund's investment manager, Jupiter Asset Management Limited, and is also expected to increase the trading liquidity of the Class A Units of the Fund and to reduce the management expense ratio of the Fund.
The Toronto Stock Exchange ("TSX") has conditionally approved the listing of the Class A Warrants to be distributed under this short form prospectus and the Class A Units issuable upon the exercise thereof on the TSX. The Class A Warrants will be listed under the symbol GFO.WT. Listing will be subject to the Fund fulfilling all of the listing requirements of the TSX by May 24, 2012. The Class F Warrants will not be listed on any exchange.
The Class A Units of the Fund are listed on the TSX under the symbol GFO.UN. The Class F Units are not listed on any exchange.
