CALGARY, Nov. 27 /CNW/ - Compton Petroleum Corporation (TSX - CMT, NYSE - CMZ) is pleased to announce that it has filed a preliminary short-form base shelf prospectus in Canada and a registration statement in the United States. These filings are intended to provide the Corporation with financial flexibility by reducing the time required to pursue and complete potential future equity offers.
Upon clearing the preliminary short-form base shelf prospectus through the security regulatory authorities, Compton intends to file a final base shelf prospectus and corresponding registration statement. Thereafter, Compton may, at its option, undertake one or more offerings by filing a prospectus supplement, which provides the Corporation with the ability to pursue equity offerings over the following 25-months with aggregate gross proceeds of up to $750 million.
At this time, Compton has no immediate plans to issue any securities under the shelf prospectus and registration statement. These filings are being made simply to provide the Corporation with additional financial options in the future.
Compton filed the base shelf prospectus with the securities commissions in each of the provinces of Canada and filed a corresponding registration statement on Form F-10 with the United States Securities and Exchange Commission.
