Clarification regarding the matter of Carole Morinville

MONTREAL, Aug. 6 /CNW Telbec/ - Subsequent to a decision by the Bureau de Décision et de Révision on August 2, 2010, Carole Morinville feels it important that a number of clarifications be made.

Firstly, it should be noted that no one implicated in the decision of the Bureau de Décision et de Révision has been contacted by the Bureau. The decision was rendered ex parte, i.e. without the individuals involved having had an opportunity to testify, provide explanations, or above all rectify certain aspects and correct many of the highly erroneous allegations and conclusions leading to this decision, including the following:

    
    - Contrary to what is indicated in the decision by the Bureau, no civil
      proceedings have been instituted;
    - Contrary to what is indicated in the decision by the Bureau, only
      Ms. Morinville and/or her businesses are involved in the case in
      question;
    - Contrary to what is indicated in the decision by the Bureau,
      Roberto Diano, spouse of Ms. Morinville, has never directly or
      indirectly participated in any type of investment solicitation among
      investors.

    Mtl Bagel Box and Mtl Bagel Co.

    The speculation surrounding the possible involvement of Ms. Morinville's
    husband and the company he heads, Mtl Bagel Box, is unfounded. The
    company, which has been solely dedicated to the production and sale of
    bagel bites since April 26, 2010 and has never approached clients of
    Carole Morinville, Agence Carole Morinville or Carole Morinville et
    Associés to invest in the business.

    Therefore, the activities of Ms. Morinville which are under investigation
    involve neither Roberto Diano nor the business of which he is a director
    and majority shareholder.

    Collaboration necessary and welcome

    To date, neither the AMF nor the Bureau de Décision et de Révision has
    communicated with Carole Morinville. Ms. Morinville nevertheless intends
    to offer her full cooperation to the organizations in charge of the
    investigation and will be completely transparent in her dealings with
    them.
