Cinven Reports Change in Equity Interest in Concordia International Corp.
TORONTO, Oct. 1, 2018 /CNW/ - Cinven Capital Management (V) General Partner Limited ("Cinven") announces that pursuant to a plan of arrangement of Concordia International Corp. (the "Company") under the Canada Business Corporations Act (the "Arrangement"), the 7,233,338 common shares of the Company held by the limited partnerships constituting the Fifth Cinven Fund and other entities controlled by or acting jointly with Cinven (the "Funds") were consolidated on a 1-for-300 basis and re-designated as limited voting shares (the "Limited Voting Shares"), and the Company issued new Limited Voting Shares to third parties pursuant to a private placement transaction and pursuant to an exchange of certain unsecured debt of the Company for Limited Voting Shares. Prior to the Arrangement, the Funds held approximately 14.1% of the issued and outstanding common shares of the Company (as reported in the Company's management information circular dated May 15, 2018), while following the closing of the Arrangement, the Funds hold in aggregate 24,110 Limited Voting Shares, representing approximately 0.049% of the issued and outstanding Limited Voting Shares (on the basis of 48,913,504 of total issued and outstanding Limited Voting Shares as disclosed by the Company in its news release issued on September 11, 2018).
The Funds may in the future take such actions in respect of their shareholdings in the Company as they may deem appropriate in light of the circumstances then existing, including the sale of all or a portion of their holdings in the open market or in privately negotiated transactions to one or more purchasers.
