Canadian Overseas Petroleum Files Final Short Form Prospectus for Common Share Offering

CALGARY, July 4, 2013 /CNW/ - Canadian Overseas Petroleum Limited ("COPL" or the "Company") (TSX-V: XOP), has filed a final short form prospectus with the securities regulatory authorities in all of the provinces of Canada, excluding Quebec, (the "Qualifying Provinces"), in connection with a marketed offering (the "Offering") of common shares in the capital of the Company (the "Common Shares"). The Company is expecting to raise a minimum of $6,000,000 and up to a maximum of $10,000,000 in aggregate gross proceeds pursuant to the Offering.  The Offering is scheduled to close on or about July 11, 2013.

The Offering is being led by FirstEnergy Capital Corp. on behalf of a syndicate of agents including Canaccord Genuity Corp. and GMP Securities L.P. Pursuant to the Offering, the Company will issue a minimum of 30,000,000 and a maximum of 50,000,000 Common Shares at a price of $0.20 per Common Share. The Company intends to use the net proceeds from the Offering to fund COPL's working capital and for general corporate purposes.
