AMAPÁ MINERALS FILES AMENDED AND RESTATED PRELIMINARY BASE PREP PROSPECTUS FOR INITIAL PUBLIC OFFERING OF COMMON SHARES

TORONTO, July 16, 2026 /CNW/ -- Amapá Minerals Holdings Inc. ("Amapá Minerals" or the "Company") announced today that it has filed with the securities regulatory authorities in each of the provinces and territories of Canada, an amended and restated preliminary base PREP prospectus (the "Amended and Restated Preliminary Prospectus"), which amends and restates the preliminary base PREP prospectus filed by the Company on July 10, 2026 in connection with the proposed initial public offering of common shares ("Common Shares") of the Company (the "Offering"). The Offering will consist of a treasury offering by the Company. The gross proceeds of the Offering are expected to be approximately $140 million at an offering price between $1.40 and $1.80 per Common Share.

The Offering will be managed by a syndicate of underwriters, including Canaccord Genuity and BMO Capital Markets, as joint lead bookrunners.

The Amended and Restated Preliminary Prospectus contains important information relating to the Common Shares and the Offering and has not yet become final for the purpose of a distribution of securities to the public.
