AGT Food and Ingredients Inc. Files Amended and Restated Preliminary Prospectus for Initial Public Offering of Common Shares

REGINA, SK, Feb. 5, 2026 /CNW/ - AGT Food and Ingredients Inc. ("AGT" or the "Company") announced today that it has filed, with the securities regulatory authorities in each of the provinces and territories of Canada, and obtained a receipt for, an amended and restated preliminary prospectus (the "A&R Preliminary Prospectus"), which amends and restates the preliminary long form prospectus filed by the Company on January 30, 2026, in connection with its initial public offering of common shares (the "Offering").

As disclosed in the A&R Preliminary Prospectus, the Offering consists of a treasury offering expected to be for total gross proceeds of approximately $425 million and a secondary offering by certain shareholders of the Company expected to be for total gross proceeds of approximately $35 million, at a price per share between $26.00 and $30.00.

The Offering is being made through a syndicate of underwriters led by National Bank Capital Markets and Scotiabank, as joint lead bookrunners, Raymond James Ltd. as bookrunner and ATB Securities Inc., Canaccord Genuity Corp., BMO Capital Markets, RBC Capital Markets, TD Securities Inc., CIBC Capital Markets and Desjardins Capital Markets.
