Tatham issues this press release pursuant to Part 3 – Early Warning Requirements of National Iinstrument 62-103 with respect to Tatham Family Holdings II Ltd, a holding company incorporated in Ontario and controlled by William Tatham, with its head office at 10 York Mills Road, Suite 700, Toronto, Ontario M2P 2G4.
On December 29, 2017, pursuant to a private placement, 920,000 Common Shares of NexJ Health Holdings Inc., a provider of patient engagement solutions for chronic disease management with its head office at 10 York Mills Road, Suite 700, Toronto, Ontario M2P 2G4 ("NexJ Health Holdings"), were purchased at a deemed issue price of $0.25 per Common Share by Tatham Family Holdings II Ltd. following conversion of a bridge loan by Tatham Family Holdings II Ltd. (the "Transaction"), representing 2.53% of the 36,333,644 issued and outstanding Common Shares as of that date (and an increase of approximately 9.62% over the previous number of Common Shares owned and controlled prior to the Transaction). Prior to giving effect to the Transaction, Mr. William Tatham owned or controlled 9,560,503 Common Shares of NexJ Health Holdings (representing 27.37% of the Common Shares before giving effect to the Transaction). After giving effect to the Transaction, William Tatham, the Executive Chairman of NexJ Health Holdings and President of Tatham Family Holdings II Ltd. owns and controls an aggregate of 10,480,503 Common Shares, representing approximately 28.85% of the currently issued and outstanding Common Shares.
Mr. Tatham acquired the Common Shares for investment purposes, and may, in the future depending on market and other conditions, increase or decrease his ownership, control or direction over Common Shares in the capital of NexJ Health Holdings in accordance with applicable securities laws.
