32 Degrees Reports Disposition of Shares in Vertex Resource Group Ltd.

CALGARY, AB, Aug. 24, 2026 /CNW/ -- 32 Degrees Diversified Energy Fund II (Canadian) L.P., 32 Degrees Diversified Energy Fund II (US) L.P., 32 Degrees Diversified Energy Fund II (Service & Technology Co-Invest AIV) L.P., 32 Degrees Diversified Energy Fund III (Canadian) L.P. and 32 Degrees Diversified Energy Fund III (US) L.P. (collectively "32 Degrees") of Calgary, Alberta announced that 32 Degrees has disposed of an aggregate of 3,516,863 common shares ("Common Shares") in the capital of Vertex Resource Group Ltd. (the "Corporation"), a corporation with a head office at 161 – 2055 Premier Way, Sherwood Park, AB T8H 0G2. 

The transactions were conducted over the facilities of the TSX Venture Exchange from July 16, 2026 to August 20, 2026 at an approximate average price of $0.18 per Common Share, for aggregate gross proceeds of $633,891.28. 32 Degrees now exercises control or direction over 10,752,005 Common Shares, representing less than 10% of the outstanding Common Shares of the Corporation.

Immediately prior to the disposition of Common Shares referred to herein, 32 Degrees exercised control or direction over 14,268,868 Common Shares, representing approximately 12.7% of the current outstanding Common Shares.

The 32 Degrees funds are oil and gas focused private equity funds and are part of the 32 Degrees Capital group. 32 Degrees held the Common Shares for investment purposes and may, depending on market and other conditions, acquire additional Common Shares through market transactions, private agreements, treasury issuances, dividend reinvestment programs, exercise of options, convertible securities or otherwise, or may sell all or some of the Common Shares it owns or controls, or may continue to hold such Common Shares.  This press release has been issued in order to comply with applicable securities legislation.
