    TSX Venture Exchange has accepted for filing the documentation relating to
an arm's length agreement between the Company and a subsidiary of Blue Note
Mining Inc. ("Blue Note") pursuant to which the Company has agreed to acquire
all of the outstanding shares of X-Ore International Inc., the subsidiary that
holds mining assets and conducts exploration activities in Mexico. The
consideration for the transaction will be staggered cash payments totalling
$200,000 and the gradual issuance of 7,000,000 common shares of the Company
and 1,000,000 warrants to purchase 1,000,000 shares of the Company (of which
600,000 having an exercise price of $0.50 per share and 400,000 having an
exercise price of $0.80 per share) exercisable over a period of 24 months
following their issuance. The Company has agreed to assume X-Ore International
obligations and liabilities in the maximum amount of $134,391 and to assume
$60,000 payable to Mexican authorities in connection with recording of claims.

northeast of Whitehorse.

    The Company has purchased a 100% interest in 42 claims covering 877.6
hectares located northeast of Watson Lake in southeastern Yukon.

    Lost Horses Property:

    The Company has purchased a 100% interest in 180 claims in four blocks
totaling 3762.5 hectares located southeast of Dawson in west-central Yukon.

    Under the agreement, ATAC has the optional right to earn-back a 50%
interest in any interest subsequently held by the Company in any of the
subject properties, by making a cash payment equal to twice the exploration
and holding costs incurred by the Company in regard to that property. The
back-in right is exercisable on December 31, 2013. If ATAC exercises its
back-in right for any property, a joint venture will be formed in regard to
that property.
