VANCOUVER, BC, Oct. 28, 2026 /CNW/ -- Etruscus Resources Corp. (CSE: ETR) (OTC: ETRUF) (FSE: ERR) (the "Company" or "Etruscus") announces, subject to Canadian Securities Exchange ("CSE") approval, that it plans to raise up to $200,000 through a non-brokered private placement (the "Financing"). The Financing will consist of up to 2,857,143 flow-through common shares at a price of $0.07 per share. Proceeds of the Financing will be used solely to advance exploration at its Rock & Roll Property (the "Property") by incurring qualifying Canadian exploration expenditures on the Property.
Fiore Aliperti, President and CEO of Etruscus, commented "This financing completes our funding for the 2026 exploration activities at Rock & Roll. We continue to advance the Property's significant exploration potential with the airborne ZTEM survey, from which we expect to gain critical insights into potential concealed mineral systems and further refine our highest-priority exploration targets. Our objective is to develop a stronger pipeline of drill-ready targets while maintaining a disciplined approach to exploration spending, ensuring future drilling programs are guided by the best available geological and geophysical information."
All shares issued under the private placement will be subject to a hold period of four months and one day from the date of issuance. Finders' fees may be paid in accordance with securities regulations.
The flow-through shares will qualify as "flow-through shares" for the purposes of the Income Tax Act (Canada) (the "Act"). The proceeds of the flow-through private placement will be used to incur "Canadian exploration expense" (within the meaning of the Act). The Company will renounce these expenses to the purchasers with an effective date of no later than December 31, 2026, and as required under the Act, and, if applicable, as required under Provisional legislation.
The Company is pleased to announce that its previously announced private placement was completed with the tranche of $500,287 that closed on September 29, 2026.
