CALGARY, May 13 /CNW/ - Zaio Corporation ("Zaio" or the "Corporation") announces that on May 13, 2010 it completed the first of a series of closings for a non-brokered private placement previously announced on April 25, 2010. The first closing placed 3,457,923 units (the "Units") at a price of $0.13 per Unit for gross proceeds of approximately $449,530 (the "First Closing").
Each Unit consisted of one (1) common share in the capital of the Corporation (the "Common Shares") and one (1) common share purchase warrant (a "Warrant"). Each Warrant entitles the holder to purchase one (1) Common Share of the Corporation at an exercise price of $0.23 for a period of eighteen (18) months from the Closing Date (the "Exercise Period"). At the option of the Corporation, the Exercise Period for the Warrants may be shortened from eighteen (18) months to thirty (30) days should the Common Shares trade at a price equal to or greater than $0.40 for thirty (30) consecutive trading days.
Upon the First Closing, Finders' fees were paid to arm's length third parties of Zaio consisting of cash in the aggregate amount of $3,003 being 7% of the gross proceeds raised by the Finders and 23,100 Finders' compensation warrants (the "Finders' Warrants") being 7% of the number of Common Shares subscribed for through the Finders) were issued to the Finders. The Finders' Warrants were issued on the same terms and conditions as the Warrants.
All the Common Shares, Warrants, Finders' Warrants and Common Shares issuable upon exercise of the Warrants and Finders' Warrants are subject to a four month and one day hold period.
The proceeds of the First Closing of the private placement will be used: (i) to re-introduce the Zaio Concept to the United States mortgage market; (ii) to pay finders' and legal fees; and (iii) for working capital and general corporate purposes in 2010.
