TSX Venture Exchange has accepted for filing documentation relating to Share Purchase Agreement dated January 21, 2016 (the "Agreement") between an arm's length party and DealNet Capital Corp. (the "Company").  Pursuant to the Agreement, the Company shall acquire all the issued and outstanding shares of EcoHome Financial Inc., a premier non-bank lender in the Canadian heating, ventilation and air conditioning (HVAC) and home improvement segments.

In consideration the Company shall pay an aggregate of $29,000,000 cash (subject to working capital adjustments),  issue 6,039,689 common shares and issue a $2,500,000 convertible vendor take-back note (the "VTB Note").  The VTB Note shall mature two year from issuance, bear an interest rate of 6% per annum and be convertible into common shares at a price of $0.64 per share.

Further, the Company shall pay $75,000 for advisory services to INFOR Financial Inc of which up to 68,182 common shares shall be issued as partial consideration.
