all of the outstanding shares of X-Ore International Inc., the subsidiary that
holds mining assets and conducts exploration activities in Mexico. The
consideration for the transaction will be staggered cash payments totalling
$200,000 and the gradual issuance of 7,000,000 common shares of the Company
and 1,000,000 warrants to purchase 1,000,000 shares of the Company (of which
600,000 having an exercise price of $0.50 per share and 400,000 having an
exercise price of $0.80 per share) exercisable over a period of 24 months
following their issuance. The Company has agreed to assume X-Ore International
obligations and liabilities in the maximum amount of $134,391 and to assume
$60,000 payable to Mexican authorities in connection with recording of claims.

arm's length agreement to acquire certain assets and inventory used by
Botanutric de Mexico SA de CV ("Botanutric").
    The purchase price includes the payment, on the closing date, of an amount
of US $100,000, as well as a payment for the purchase of inventory held by
Botanutric. The purchase price also includes the payment of an additional
amount of US $100,000 if certain conditions are met. Furthermore there is a
payment equal to 25% of the sum of any positive cumulative excess between the
net operating income ratio and the applicable net operating income target,
within 30 days of the third anniversary of the closing date. Also, there is a
conditional payment (the "Conditional Payment") of up to US $500,000, payable
in three annual installments of US $166,667, based on the attainment of
certain objectives. The Conditional Payment may, at the Company's option, be
effected either in cash or in common shares of the Company, at a price per
share equal to the closing price of the shares on TSX Venture Exchange on the
trading day prior to their issuance, subject to a minimum share issue price of
$0.28 per share.

    Hartless Joe Property:

    The Company has purchased a 100% interest, subject to an underlying 2% net
smelter return royalty, in 68 claims in two blocks totaling 1313.5 hectares
northeast of Whitehorse.

    Scurvy Property:

    The Company has purchased a 100% interest in 42 claims covering 877.6
hectares located northeast of Watson Lake in southeastern Yukon.

    Lost Horses Property:

    The Company has purchased a 100% interest in 180 claims in four blocks
totaling 3762.5 hectares located southeast of Dawson in west-central Yukon.

    Under the agreement, ATAC has the optional right to earn-back a 50%
interest in any interest subsequently held by the Company in any of the
subject properties, by making a cash payment equal to twice the exploration
and holding costs incurred by the Company in regard to that property. The
back-in right is exercisable on December 31, 2013. If ATAC exercises its
back-in right for any property, a joint venture will be formed in regard to
that property.
