between Lara Exploration Ltd. ("Lara" or the "Company"), and Maxy Gold Corp.
("Maxy"). Under the Arrangement, Lara has agreed to acquire all of the issued
and outstanding common shares of Maxy, pursuant to which:

    1.  Each issued and outstanding Maxy share shall be exchanged for Lara
        shares on the basis of 0.125 of a Lara share for each one Maxy share;

    2.  Maxy options shall be exchanged for Lara options with the number of
        Lara shares to which the holder is entitled and the exercise price
        for such Lara options being adjusted in accordance with the
        conversion ratio of 1:0.125; and

    3.  Andre Gauthier will be appointed to the board of directors of Lara
        and as its President.

    As a result of the Arrangement, the following will occur:

    1.  Lara will acquire all of the outstanding securities of Maxy with the
        result that Maxy will become a wholly owned subsidiary of Lara; and

    2.  The Maxy Shares will be delisted from trading on the Exchange.

    The Exchange has been advised that approval of the Arrangement by
shareholders of Maxy was received at a meeting of the shareholders held on
December 14, 2009 and that approval of the Arrangement was received from the
Supreme Court of British Columbia on December 15, 2009. The full particulars
