    Total consideration consists of $147,420 in cash payments and 120,000
shares of the Company to be issued over a four year period.
    In addition, there is a 1.5% net smelter return relating to the
acquisition. Upon satisfaction of all cash payments and shares issuances noted
above, the Company has a one year period during which it may purchase 0.75% of
the net smelter return for $1,000,000 in order to reduce the total net smelter
return to 0.75%. The Company retains the right of first refusal to purchase
all or any part of the net smelter return at any time.
