    1.  The provision requiring the Company to incur $1,000,000 in eligible
        exploration expenditures by September 15, 2009 has been extended to

        September 5, 2010;

    3.  The provision requiring the Issuer to incur an additional $350,000 in
        eligible exploration expenditures by September 15, 2009 has been
        extended to September 15, 2010; and

    4.  The provision requiring the Issuer to incur an additional $650,000 in
        eligible exploration expenditures by September 15, 2010 has been
        extended to September 15, 2011 in order to earn an additional 10%
        interest in the Property.

    Graduation from NEX to TSX Venture, Symbol Change

    Change of Business:

    TSX Venture Exchange has accepted for filing Focus Ventures Ltd.'s (the
"Company") Change of Business (the "COB") and related transactions, all as
principally described in its Filing Statement dated August 25, 2009 (the
"Filing Statement"). The COB includes the following matters, all of which have
been accepted by the Exchange:

    1.  Property-Asset or Share Purchase Agreement:

    The Company has the option to acquire a 100% interest in the Nueva
California property (the "Property") from Radius Gold Inc. ("Radius") pursuant
to an assignment agreement dated March 18, 2009 (the "Assignment Agreement")
whereby the Company will assume all of Radius' obligations under an option
agreement dated March 16, 2009 (the "Option Agreement") between Radius and an
arms length, private Peruvian Company (the "Vendor").

    -   Pursuant to the Assignment Agreement the Company will issue Radius
        1,000,000 common shares and re-imburse Radius US$50,000 cash (prior
        option payments made by Radius).
    -   The Company will also assume the required obligations of the
        underlying Option Agreement of US$3,000,000 cash payable to the
        Vendor and US$3,000,000 of exploration expenditures on the Property
        over a 4 year period.
    -   The Vendor is at arms length to both the Company and Radius.

    The Exchange has been advised that the transactions involved with the COB
were approved by the required percentage of shareholders via written consents
on August 28, 2009. For additional information, please refer to the Company's
Filing Statement which is available on SEDAR.

    The Company is classified as a 'Mineral Exploration' company.

    2.  Private Placement-Non-Brokered

    TSX Venture Exchange has accepted for filing documentation with respect to
a Non-Brokered Private Placement announced May 21, 2009:

    Number of Shares:        4,150,000 shares

    Purchase Price:          $0.25 per share

    Warrants:                4,150,000 share purchase warrants to purchase
                             4,150,000 shares

    Warrant Exercise Price:  $0.30 for a two year period

    Number of Placees:       41 placees

    Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the Company
must issue a news release announcing the closing of the private placement and
setting out the expiry dates of the hold period(s). The Company must also
issue a news release if the private placement does not close promptly.

    3.  Graduation from NEX to TSX Venture, Symbol Change

    The Company has met the requirements to be listed as a TSX Venture Tier 2
Company. Therefore, effective on Thursday, September 24, 2009, the Company's
listing will transfer from NEX to TSX Venture, the Company's Tier
classification will change from NEX to Tier 2 and the Filing and Service
Office will change from NEX to Vancouver.
    Effective at the opening Thursday, September 24, 2009, the trading symbol
for the Company will change from FCV.H to FCV.

    Capitalization:          Unlimited shares with no par value of which
                            19,217,039 shares are issued and outstanding
    Escrowed:                3,661,475 common shares
    Escrow Term:             1,576,000 common shares are subject to 36 month
                                       staged release escrow; and,
                             1,085,475 common shares are subject to 18 month
                                       staged release escrow
