(DFI:TSX) ("DFI" or the "Company") is pleased to announce it has closed
an interim financing with Spirit Resources SARL ("Spirit"), a company
beneficially owned by Jean-Raymond Boulle, the Company's largest
The Company has executed a promissory note with Spirit under which
Spirit has provided an unsecured loan to the Company in the amount of
two hundred and fifty thousand dollars (US$250 000). The note matures
on December 21, 2012. The Company intends to repay the debt to Spirit
with a portion of the proceeds from a proposed convertible debenture
financing, which financing is subject to receipt of approval from
disinterested shareholders at DFI's Annual General Meeting scheduled to
be held December 20, 2012.
