These matters are described in the notice of meeting and information circular dated July 14, 2010, prepared in connection with the meeting of noteholders held earlier today. These matters include the assignment to CIBC of Citi Cards' rights and obligations under the securitization programme, certain amendments to the programme agreements and the removal of certain charged-off, delinquent and low credit score accounts and related receivables from the pool of securitized receivables.

Closing of the transactions with CIBC, subject to the satisfaction of certain closing conditions, is expected to occur shortly.
