Armistice Resources Corp. Announces Results of Exercise of Warrants

TORONTO, April 12 /CNW/ - Armistice Resources Corp. (TSX: AZ) today announced that it has raised $738,000.25 as the result of the exercise of warrants that had been issued as part of a private-placement offering of 6,237,335 units that closed on February 26, 2009.

On March 9, 2010, Armistice announced that under the terms of the warrant certificates issued as part of the February 26, 2009 private-placement offering, the company on March 5, 2010 had provided notice to the holders of February 2009 warrants of its election to exercise its Acceleration Right to reduce the period within which the February 2009 warrants may be exercised. The warrants were almost completely exercised with 2,952,001 of the 3,118,668 outstanding warrants converted.

In addition, Armistice announced that 50,000 warrants issued in September 2009 have been exercised at $0.20 per share for a total of $10,000 and a retired Director of the company's Board has exercised 200,000 options at $0.25 per share generating proceeds to the company of $50,000.

Including the recent exercise of the warrants and options, Armistice Resources has 79,850,853 common shares issued and outstanding.
