HALIFAX, NS, Oct. 8, 2026 /CNW/ -- Silver Tiger Metals Inc. (TSX: SLVR) ("Silver Tiger" or the "Company") is pleased to announce that, further to its news release dated September 21, 2026, it has filed a final short form prospectus dated October 8, 2026 (the "Final Prospectus") with the securities commissions in each of the provinces of Canada, except Quebec, in connection with its bought deal public offering of 87,000,000 units of the Company (the "Units") at $1.00 per Unit for aggregate gross proceeds of $87,000,000 (the "Offering"). Each Unit is comprised of one common share of the Company (a "Common Share") and one-half of one Common Share purchase warrant (each whole Common Share purchase warrant, a "Warrant"). Each Warrant shall be exercisable into one Common Share (a "Warrant Share") at a price of $1.35 per Warrant Share for an exercise period of 24 months from the closing of the Offering.
The Offering is being conducted through a syndicate of underwriters including Stifel Nicolaus Canada Inc., as sole bookrunner and lead underwriter ("Stifel Canada"), and BMO Capital Markets, Canaccord Genuity Corp. and Desjardins Securities Inc. (together with Stifel Canada, the "Underwriters"). The Company has granted the Underwriters an option (the "Over-Allotment Option") to purchase an additional 13,050,000 Units on the same terms and exercisable at any time up to 30 days following the closing of the Offering, for market stabilization purposes and to cover over-allotments, if any. If the Over-Allotment Option is exercised in full, additional gross proceeds of $13,050,000 will be raised pursuant to the Offering and the aggregate gross proceeds of the Offering will be $100,050,000.
The Offering is being conducted in each of the provinces of Canada, except Quebec, and outside of Canada in accordance with applicable securities laws.
Closing of the Offering is expected to occur on or about October 13, 2026 (the "Closing Date"). The Toronto Stock Exchange ("TSX") has conditionally approved the listing of the Common Shares to be issued pursuant to the Offering (including any exercise of the Over-Allotment Option), subject to customary conditions.
