exercise price of $0.80 per share) exercisable over a period of 24 months
following their issuance. The Company has agreed to assume X-Ore International

836 hectares located south of Beaver Creek in southwestern Yukon. There are no
underlying royalties.
Mars Property:
The Company has purchased a 100% interest in claims comprising part of
this property and a 50% interest in claims that comprise the remainder of this
property consists of 50 claims covering 1046 hectares situated northeast of
Whitehorse in southern Yukon.
Hartless Joe Property:
The Company has purchased a 100% interest, subject to an underlying 2% net
smelter return royalty, in 68 claims in two blocks totaling 1313.5 hectares
northeast of Whitehorse.
Scurvy Property:
The Company has purchased a 100% interest in 42 claims covering 877.6
hectares located northeast of Watson Lake in southeastern Yukon.
Lost Horses Property:
The Company has purchased a 100% interest in 180 claims in four blocks
totaling 3762.5 hectares located southeast of Dawson in west-central Yukon.
Under the agreement, ATAC has the optional right to earn-back a 50%
interest in any interest subsequently held by the Company in any of the
subject properties, by making a cash payment equal to twice the exploration
and holding costs incurred by the Company in regard to that property. The
back-in right is exercisable on December 31, 2013. If ATAC exercises its
back-in right for any property, a joint venture will be formed in regard to
that property.
