The Amended Agreement relates to a partnership formed for the joint
exploration for gold of 20 mineral exploration permits and 8 mineral
exploitation permits located in the northeastern Democratic Republic of Congo.
Pursuant to the Amended Agreement, KGI will pay an aggregate of 575,000
Euros to the Local Partners (of which 125,000 Euros has been paid in cash, a
further 200,000 Euros is to be satisfied by the issue of 520,915 common shares
of the Company and the balance may be satisfied in cash, or subject to
regulatory approval, common shares of the Company. Under the Amended Agreement
work commitments of 2,000,000 Euros are also required over a three year period
(which have already been performed).
