("Kaminka") with respect to the acquisition of up to an undivided 70% interest
in the Voigtbert Property located in British Columbia. Pursuant to the
agreement, the deadline for fulfilling certain option terms under the original
Option and Joint Venture Agreement dated August 18, 2006 has been extended by
a period of one year to September 15, 2010. As consideration for the extension
to the term, the Company will issue 100,000 common shares to Kaminak. The

    1.  The provision requiring the Company to incur $1,000,000 in eligible
        exploration expenditures by September 15, 2009 has been extended to
        September 15, 2010;

    2.  The provision requiring the company to issue and deliver 100,000
        units originally on September 15, 2009 has been extended to
        September 5, 2010;

    3.  The provision requiring the Issuer to incur an additional $350,000 in
        eligible exploration expenditures by September 15, 2009 has been
        extended to September 15, 2010; and

    4.  The provision requiring the Issuer to incur an additional $650,000 in
        eligible exploration expenditures by September 15, 2010 has been
        extended to September 15, 2011 in order to earn an additional 10%
        interest in the Property.

Ridgeline Energy Services Inc. (the "Company") and Landmark Environmental Ltd.
(the "Vendor"). Pursuant to the terms of the Share Purchase Agreement dated
August 31, 2009 (the "Agreement") the Company will acquire all of the issued
and outstanding shares of the Vendor for total consideration of $600,000. The
purchase price will be satisfied by the payment of $100,000 cash, the issuance
of 1,000,000 Units at a price of $0.10 per Unit and the issuance of a
promissory note in the principal amount of $400,000. Each Unit is comprised of
one common share and one half of one common share purchase warrant. Each whole
warrant is exercisable at a price of $0.15 per share for a period of five
years.
    The promissory note will be non-interest bearing payable in annual
installments over a five year period with annual payments of up to 30% of the
Company's gross profit until the debt is repaid. The Company will also pay the
Vendor a $50,000 non-compete fee at closing.

    The Company has the option to acquire a 100% interest in the Nueva

whereby the Company will assume all of Radius' obligations under an option
agreement dated March 16, 2009 (the "Option Agreement") between Radius and an
arms length, private Peruvian Company (the "Vendor").

    -   Pursuant to the Assignment Agreement the Company will issue Radius
        1,000,000 common shares and re-imburse Radius US$50,000 cash (prior
        option payments made by Radius).
    -   The Company will also assume the required obligations of the
        underlying Option Agreement of US$3,000,000 cash payable to the
        Vendor and US$3,000,000 of exploration expenditures on the Property
        over a 4 year period.
    -   The Vendor is at arms length to both the Company and Radius.

    The Exchange has been advised that the transactions involved with the COB
were approved by the required percentage of shareholders via written consents
on August 28, 2009. For additional information, please refer to the Company's
Filing Statement which is available on SEDAR.
