Wildcat shareholders elect management nominees to Board of Directors

    Dissident group is rejected

    WINNIPEG, April 26 /CNW/ - Wildcat Exploration Ltd. announced today that
the Company's shareholders have voted strongly in support of the management
nominees to the Board of Directors and rejected the nominees proposed by
dissident shareholders. The vote took place at a Special Meeting of Wildcat
shareholders this morning in Winnipeg.
    Approximately 63% of the shares voted at the meeting supported the
election of current directors Joseph Baylis, Robert Dzisiak, Denis G. Fillion
and Jerrold Siemens, the Company's Chairman and Interim Chief Executive
    The Special Meeting of shareholders was called as a result of a
requisition by a small group of dissident shareholders led by Shlomo Prizant,
the former President and CEO of Wildcat.
    "We thank Wildcat shareholders for their continued support," said Mr.
Siemens. "The Board regrets the time and expense that this exercise consumed.
However, with this behind us and with the support of our shareholders, we will
continue to focus our energy toward executing Wildcat's strategic plan and
maximizing shareholder value."
    At the Special Meeting and through proxy forms, Wildcat shareholders
voted to:

    -   Re-elect Joseph Baylis, Robert Dzisiak, Denis G. Fillion and Jerrold
        Siemens, to the Board of Directors;

    -   Appoint BDO Dunwoody LLP, Chartered Accountants, as Wildcat's
        auditors and authorized the Directors to fix their remuneration;

    -   Amend section 4.09 of by-law No. l of the Company to permit Directors
        of the Company to participate in meetings of the Board or committees
        of the Board by means of telephone or such other communications
        facilities as permit all persons participating in the meeting to hear
        one another.
